Einmal mehr: zur Schutzgesetzeigenschaft der Verhaltenspflichten der §§ 63 ff. WpHG unter dem Regime von MiFID II

Abstract

Die Frage, ob den §§ 63 ff WpHG, die nach der Umsetzung von MIFID II durch das 2. FiMaNoG die §§ 31 ff. WpHG a. F. ersetzt haben, jedenfalls partiell die Schutzgesetzeigenschaft nach § 823 Abs. 2 BGB zukommt, ist keinesfalls rein akademischer Natur. Der Aussage von Nobbe, der diese „dogmatische Spielwiese weitgehend der Rechtswissenschaft überlassen“ will kann damit nicht mehr uneingeschränkt gefolgt werden. Sofern die Schutzgesetzeigenschaft der §§ 63 ff. WpHG angenommen wird, wäre es dem einen oder anderen Anleger – trotz nach wie vor bestehender Anforderungen an die Darlegungs- und Beweislast – nämlich deutlich leichter möglich, seine Ansprüche vor Gericht durchzusetzen. Darüber hinaus trägt die Diskussion zur weiteren Rechtsfortbildung bei, die gerade im Bank- und Kapitalmarktrecht mit beeindruckender Geschwindigkeit fortschreitet. Was heute gilt, kann morgen schon Makulatur sein.
