Abstract

Öffentliche Übernahmeangebote werden in der Regel unter Bedingungen abgegeben, z. B. dem Erreichen einer bestimmten Beteiligungshöhe oder dem Ausbleiben wesentlicher nachteiliger Veränderungen der Zielgesellschaft (sog. MAC-Klauseln). Im Gegensatz dazu sind Pflichtangebote bedingungsfeindlich. Während dieser Grundsatz in § 39 WpÜG durch den Geltungsausschluss von § 18 Abs. 1 WpÜG angedeutet ist, haben die bereits im Gesetzgebungsverfahren für notwendig erachteten Ausnahmen keinen Eingang in den Gesetzestext gefunden. Dieses Transparenzdefizit nimmt der Beitrag zum Anlass, einzelne Ausnahmen zu identifizieren, Folgefragen eines bedingten Pflichtangebots zu beleuchten und auf Grundlage einer rechtsvergleichenden Betrachtung einen Regelungsvorschlag für das WpÜG zu unterbreiten.
