§ 2a VermAnlG – Hilfestellung oder Haftungsfalle für Crowdfunding-Plattformen?

Abstract

Crowdfunding ist im Begriff, sich als Finanzierungsbaustein für Unternehmen sowie Privatpersonen zu etablieren. Für diesen Bereich hat der Gesetzgeber im Zuge des Kleinanlegerschutzgesetzes § 2a VermAnlG eingeführt, der Emissionen über Crowdfunding-Plattformen unter bestimmten Voraussetzungen von einem Großteil der Regelungen des Vermögensanlagengesetzes befreit. Allerdings leidet § 2a VermAnlG an einem gravierenden Konstruktionsfehler, der dazu geführt hat, dass die Vorschrift nach dem Inkrafttreten bei reiner Wortlautbetrachtung zehn Monate lang nicht anwendbar war. Weder Emittenten noch Crowdfunding-Plattformen haben diese Problematik erkannt. Sie haben sich bei der Emission von Vermögensanlagen daher auf die Ausnahmevorschrift des § 2a VermAnlG gestützt und sehen sich nunmehr empfindlichen Haftungsrisiken ausgesetzt. Der am 15. 2. 2017 veröffentlichte Bericht der Bundesregierung zur Evaluierung des § 2a VermAnlG gibt Anlass, den Konstruktionsfehler der Vorschrift näher zu beleuchten und gleichzeitig Lösungswege für die betroffenen Regelungsadressaten aufzuzeigen.
