Bilanzoptimierter Rückerwerb von Anleihen über ihrem Nominalwert

Abstract

Der folgende Beitrag analysiert eine Transaktionsstruktur, mit deren Hilfe ein Konzern Anleihen über ihrem Nennwert zurückerwerben kann, ohne dass in den Einzelbilanzen oder der Konzernbilanz ein außerordentlicher Aufwand entsteht. Insbesondere wird gezeigt, wie sich ein Unternehmen die dingliche Rechtsnatur von Inhaberschuldverschreibungen für den bilanzneutralen Rückerwerb zu Nutze machen kann und wie sich der Rückerwerb nach dieser Transaktionsstruktur im Einzelnen handelsbilanziell auswirkt. Der Rückerwerb von Anleihen bietet einem Konzern auf diese Weise einen effektiven Weg zur Kostensenkung, der bei hochverzinslichen Anleihen mit mittlerer oder langer Restlaufzeit in Betracht gezogen werden sollte.
