Europäisches Insiderrecht 2.0 – Konzeption und Grundsatzfragen der Reform durch MAR und CRIM-MAD

Abstract

Der Rat und das Europäisches Parlament haben die von der Kommission 2011 vorgeschlagene Marktmissbrauchsverordnung und die Richtlinie über strafrechtliche Sanktionen für Insiderhandel und Marktmanipulationen verabschiedet. Dieser Beitrag entfaltet die Konzeption und Grundsatzfragen des neuen Insiderrechts. Im Mittelpunkt steht die mit der Verordnungsgesetzgebung einhergehende weitere Europäisierung der Regelungsmaterie. Ferner werden die wichtigsten Neuregelungen analysiert. Dies sind die Vorschriften zur Definition der Insiderinformation, die Insiderverbote und das erstmals gesetzlich normierte Handelsverbot für Führungskräfte vor Veröffentlichung von Finanzberichten.
