Die Neuregelung über das Verbundgeschäft bei Immobiliardarlehen: Zugleich ein Beitrag zur Rechtsentwicklung der Grundsätze über verbundene Geschäfte

Abstract

Im Rahmen des Gesetzes zur Änderung der Vertretung durch Rechtsanwälte vor den Oberlandesgerichten (OLG-Vertretungsänderungsgesetz - OLGVertrÄndG) vom 23. Juli 2002 (BGBl I, 2850) hat der Gesetzgeber neben der Anpassung des Widerrufsrechts an die Heininger-Entscheidungen des Europäischen Gerichtshofs und des Bundesgerichtshofs die Bestimmungen über das Verbundgeschäft neu definiert und auf Immobiliengeschäfte und deren Finanzierung ausgedehnt. Die in §358 Abs. 3 Satz 3 BGB niedergelegte Definition des Verbundgeschäfts bei Immobiliardarlehen birgt erhebliche Auslegungsschwierigkeiten und stellt die Kreditwirtschaft vor eine nicht unbeträchtliche Herausforderung. Der Beitrag zeichnet die Historie von Rechtsprechung und Gesetzgebung zum Verbundgeschäft nach und zeigt auf mit welchen Konsequenzen die Kreditwirtschaft rechnen muss und welche Möglichkeiten bestehen, um den Charakter eines Verbundgeschäftes relativieren oder gar vermeiden zu könen.
