Abstract

Die Europäische Kommission hat im Juli 2001 ein offenes Konsultationsverfahren zur Wertpapierdienstleistungsrichtlinie eingeleitet. Kernstück des Reformvorhabens ist der Vorschlag zur Schaffung eines neuen regulatorischen Rahmens für Wertpapierfirmen und Märkte, um diese voneinander abzugrenzen und mit den jeweils als notwendig erachteten Rechten und Pflichten zu versehen. Weiterhin sollen im Rahmen des Reformvorhabens die den Anwendungsbereich regelnden Definitionen und Ausnahmevorschriften überarbeitet und an die Entwicklungen auf den Wertpapiermärkten angepasst werden. Der Beitrag untersucht schwerpunktmäßig die Vorschläge der Kommission und stellt die damit verbundenen Auswirkungen für Marktteilnehmer und Märkte dar. Die im Einzelnen vorgeschlagenen Erweiterungen der Pflichten für Wertpapietfirmen und Märkte sind allerdings unterschiedlich zu beurteilen. Insbesondere die Vorschläge der Kommission zur Erweiterung der Transparenzanforderungen und zur strengen Zweiteilung in geregelte und alternative Märkte dürfen zu Widerstand von Seiten der Marktteilnehmerführen
