Die Wirksamkeit von Globalbürgschaften von Gesellschaftern und Geschäftsführern für Verbindlichkeiten der Gesellschaft

Abstract

Die Rechtsprechung zur Zulässigkeit der formularmäßigen Ausdehnung der Zweckerklärung von Bürgschaften auf alk bestehenden und/oder künftigen Verbindlichkeiten des Hauptschuldners ist seit 1995 im Umbruch. Der Bundesgerichtshof erklärt seither weite Zweckvereinbarungen für künftige Verbindlichkeiten für nicht mit dem AGB-Gesetz vereinbar. Diese Rechtsprechung wurde in einer Entscheidung vom 28. Oktober 1999 nunmehr auch auf Zweckerklärungen für alle bestehenden Forderungen erweitert, wenn diese nicht näher bezeichnet sind. Indes hat der Bundesgerichtshof für beide Fälle erklärt, daß ein AGB-Verstoß bei Ghbalbürgschaften von Gesellschaftern und Geschäftsführern für die Gesellschaftsverbindlichkeiten entfallen kann. Der Beitrag erarbeitet anhand der Grundsätze dieser Rechtsprechung - zusätzlich zu den vom Bundesgerichtshof bereits entschiedenen Konstellationen - die Fallgruppen, in denen Globalbürgschaften von Gesellschaftern und Geschäftsführern wirksam vereinbart werden können.
