Abstract

1. The Fiat S.p.a. – Fiat Chrysler Automobiles N.V deal. 1.1. Features of and reasons for the deal. 1.2. Distinctive aspects of the Fiat operation with respect to the cases of intra-EU mobility examined by the European Court of Justice and the legal-economic consequences thereof. – 2. Comparative evaluation of Italian corporate law from a regulatory competition standpoint. 2.1. Competition among legal systems and among financial markets. 2.2. Competition among models of corporate governance: the loyalty shares. a) Are loyalty voting mechanisms relevant for corporate mobility purposes? b) The relevance of loyalty voting mechanisms for the “competitiveness” of Italian legal system. c) Loyalty voting mechanisms and the choice of Dutch law. d) Does the introduction of loyalty voting mechanisms and multiple voting shares cause a loss of interest by Italian listed companies in corporate mobility? 2.3. Competition among tax systems. – 3. The new face of corporate mobility.
