Sub-franchisingul – modalitate de transmitere a obiectelor de proprietate industrială

Abstract

Autorul propune încheierea contractelor de sub-franchising în vederea lărgirii sferei de activitate sau de popularizare a mărcii, desenului sau modelului industrial, care este o soluţie potrivită, deoarece atât franchisee-ul, cât și sub-franchisee-ul valorifică un obiect de proprietate industrială deja înregistrat, cu o anumită valoare pe piaţă și, deseori, deja având o clientelă formată. În schimbul unei remuneraţii, sub-franchiseeu-ul primește dreptul de a folosi o marcă, de a valorifica un desen sau model industrial sau un know-how. Legea prevede că contractul de sub-franchising urmează aceeași procedură de înregistrare ca și contractul de franchising, însă nu putem înregistra un contract de sub-franchising dacă la AGEPI nu este înregistrat contractul de franchising
