Rapporteren over fraude en anti-corruptie door Nederlandse beursvennootschappen in aanloop naar de CSRD

Abstract

Dit artikel bevat de uitkomsten van het onderzoek naar informatieverschaffing over (fraude en) het tegengaan van corruptie in de jaarverslaggeving over 2022, van 37 statutair in Nederland gevestigde beursvennootschappen. Deze vennootschappen zullen binnen afzienbare tijd op grond van de CSRD en de daarop gebaseerde ESRS G1 verplicht specifiek voorgeschreven informatie over deze onderwerpen in het bestuursverslag moeten opnemen. De onderzochte beursvennootschappen sorteren in hun verslaggeving over 2022 al in enige mate voor op de CSRD en passen op dit moment vrijwillig (onder meer) de GRI-standaarden toe bij het rapporteren over duurzaamheid. Tegelijkertijd ligt het aantal vennootschappen dat expliciet rapporteert over GRI 205 (de GRI-standaard met specifieke publicatieverplichtingen over het tegengaan van corruptie en omkoping) een stuk lager. Op dit punt hebben beursvennootschappen dus nog werk te verzetten in aanloop naar de inwerkingtreding van de CSRD.
