Goed bestuur bij goede doelen: wat doet de Raad van Toezicht?

Abstract

Dit artikel presenteert de resultaten van verkennend empirisch onderzoek naar de praktische invulling van de rol van de Raad van Toezicht (RvT) binnen Nederlandse goededoelenorganisaties. Het onderzoek omvatte de analyse van één jaar aan bestuursnotulen van vijf geselecteerde organisaties, evenals afgenomen interviews bij bestuurders en leden van de RvT. De analyse laat zien dat de RvT ongeveer twee keer zoveel tijd besteedt aan haar controlerende taken als aan haar adviserende taken. RvT-leden in organisaties zonder duidelijke eigenaren blijken het beleid voornamelijk te toetsen op consistentie met abstracte aspecten, zoals de missie en identiteit en de belangen van stakeholders, zoals donateurs, blijken hierbij ondergeschikt te zijn. De spanningen tussen de adviserende en controlerende rol van de RvT nemen toe, doordat de RvT geen duidelijke groep belanghebbenden representeert. Deze inzichten werpen onder andere licht op de praktische uitvoering van toezichtstaken in de non-profitsector.
