Procesy koncentracji na rynku kapitałowym w aspekcie kosztów transakcyjnych

Abstract

Mergers and acquisitions taking place in the global and Polish economy may contribute to enterprise development and improvement of their competitiveness, and thus lead to faster development of the economy. There are many motives in mergers and acquisitions. The study focused on the motives and benefits of processes concentration, explained by the theory of transaction costs. It was shown that transaction costs can be reduced through mergers and acceptance, which leads to internalization of the company's activities. In addition, transnational corporations improve their global efficiency by conducting fiscal policy and optimization of the tax burden. / Synopsis. Fuzje i przejęcia zachodzące w gospodarce światowej i polskiej mogą przyczyniać się do rozwoju przedsiębiorstw, poprawy ich konkurencyjności, a co za tym idzie prowadzić do szybszego rozwoju gospodarki. Istnieje wiele motywów fuzji i przejęć. W opracowaniu skoncentrowano się na motywach i korzyściach wynikających z procesów koncentracji a wyjaśnianych przez teorię kosztów transakcyjnych. Ukazano, że koszty transakcyjne można obniżać poprzez fuzje i przyjęcia, które prowadzą do internalizacji działań przedsiębiorstwa. Dodatkowo korporacje transnarodowe poprawiają swoją globalną efektywność poprzez prowadzenie polityki podatkowej i optymalizacje obciążeń podatkowych.
