O Processo De Sucessão No Controle De Empresas Rurais Brasileiras: Um Estudo Multicasos

Abstract

Trata-se neste artigo do processo de sucessão dentro do contexto de desenvolvimento da empresa rural brasileira de controle familiar. O objetivo principal é aprofundar o entendimento do processo de sucessão e os desafios enfrentados ao longo do desenvolvimento da empresa rural. O método utilizado é o estudo múltiplo de casos. Para a análise dos casos é utilizado o modelo proposto por Gersick et al. (1997), que sugere as inter-relações entre as dimensões da família, da gestão e da estrutura societária em uma empresa familiar. A partir das análises dos casos, conclui-se que as motivações para a continuidade da empresa rural conjugam: a) a ligação afetiva entre os familiares e a empresa familiar b) o fato de os ativos dessa empresa constituir uma reserva de capital para família, c) uma alternativa profissional para a família e d) uma oportunidade de negócio. Entre os desafios identificados, ressaltam-se as implicações da pulverização da propriedade para a adoção de estratégias de crescimento e a motivação da geração mais jovem para dar continuidade ao empreendimento familiar. Adicionalmente são apontadas as estruturas de governança que emergem no desenvolvimento da empresa rural. Destaca-se a passagem de uma estrutura informal baseada na confiança para estruturas mais formalizadas de governança, como assembleias de sócios e conselhos de administração. ----- This paper deals with the succession process, within the context of brazilian rural enterprise development of family control. The main objective of this research is to deepen the understanding the succession process and the challenges faced during the development of rural enterprise. The method used is the multiple case study. The model proposed by Gersick et al. (1997) that considers the interrelationships among the dimensions of family, management and ownership structure in a family business. It concludes that the motivations for the continuity of rural enterprise combine: a) the link between the family and the their business; b) the fact that the assets of the company consist in the capital reserve for the Family; c) a professional alternative for the family; and d) a business opportunity. Among the challenges identified, it is pointed out the implications of property for the adoption of growth strategies and the motivation to the younger generation to continue the family business. Also, it discusses the governance structures that emerge on the farm family business development. Noteworthy is the passage of an informal structure based on trust for more formalized governance structures, as meeting members and boards of directors.
