Determinanten der 'Übergröße' deutscher Aufsichtsräte

Abstract

Ungeachtet der immer wieder kolportierten Behauptung, die deutschen Auf-sichtsräte seien "zu groß", zeigen die von uns zusammen getragenen Daten, dass rund ein Viertel der Aufsichtsgremien börsennotierter Aktiengesellschaften sogar (noch) größer ist als vom Gesetzgeber gefordert. In unserem Beitrag identifizie-ren wir unter Verwendung entsprechender Daten für alle im Zeitraum 1998-2007 für mindestens zwei Jahre im DAX, MDAX oder SDAX gelisteten Unternehmen (n=294 mit 2.266 Unternehmens-Jahres-Beobachtungen) die Bestimmungsgründe der "Übergröße" von Aufsichtsräten. Mit Hilfe logistischer Regressionen und verschiedener Zähldatenmodelle können wir nachweisen, dass das Vorhandensein eines größeren als des gesetzlich vorgesehenen Aufsichtsrates mit spezifischen betrieblichen Merkmalen, wie z.B. der Beschäftigtenzahl, dem Anlagevermögen und dem Grad der regionalen Diversifizierung erklärt werden kann.
