Entre opposition fondamentale et convergence contrainte, quel avenir pour la banque mutualiste face à la banque SA ?

Abstract

L'esprit mutualiste se caractérise par un certain nombre de principes basés sur l'engagement des individus, le bénévolat, le rôle des salariés, le système de décision, la répartition de la création de valeur ... Or pour se développer, les réseaux mutualistes ont souvent dû emprunter la structure juridique des formes commerciales existantes. Les groupes mutualistes (dans leur quête permanente de l'efficience ?), se sont massivement transformés ces dernières années, en de vastes ensembles aux multiples facettes constituées par de nombreuses filiales, participations, alliances et réseaux... En fonction de leurs besoins, ils ont ainsi imaginé et développé de nouvelles formules stratégiques et organisationnelles, qui s'intègrent dans l'organisation et en remodèlent son design. Ces organisations mettent en œuvre l'ensemble des formes juridiques possibles et leurs caractéristiques contractuelles, qui conditionnent l'esprit et les relations entre les acteurs ainsi que leurs actions sur la création de valeur. Cela modifie-t-il l'esprit mutualiste ? Son message et ses spécificités sont-ils brouillés par ces nouvelles formes d'organisation ?
