Vybrané Právne Aspekty Franchisingu V Obchodných Vzťahoch

Abstract

Franchising je marketingovým odbytovým systémom, ktorého využívanie uľahčuje podnikanie začínajúcim malým a stredným podnikateľom. Z tohto hľadiska disponuje pre národnú ekonomiku rozvojovým potenciálom, ktorý nie je v Slovenskej republike dostatočne využívaný. Možným dôvodom tohto stavu je absencia relevantnej právnej úpravy franchisingovej zmluvy. Franchising je totiž komplikovaný obchodnozáväzkový vzťah, ktorého implementovanie má významné dopady na budúcu existenciu zúčastnených podnikateľských subjektov. Príspevok sa zaoberá analýzou právnych aspektov franchisingu vo vybraných zahraničných právnych poriadkoch, ktoré sú spôsobilé mať dopad aj na slovenskú konštrukciu zmluvného zabezpečenia franchisingových konceptov (najmä v kontexte medzinárodného práva súkromného).
