Neustrukturierung von Unternehmen durch Sanierungsgesellschaften

Abstract

Im Rahmen eines Insolvenzverfahrens sollte immer im Vordergrund stehen, ein Unternehmen zu sanieren und damit auch als Unternehmen zu erhalten, statt einer reinen Zerschlagung den Vorrang zu geben. Eine Möglichkeit für eine sinnvolle Sanierung eines Unternehmens im Rahmen eines Insolvenzverfahrens kann die Gründung einer Auffanggesellschaft sein. Diese ermöglicht es u. a. auch, qualifiziertes Personal und damit deren Know-how zu erhalten. Ziel ist es, die Vermögensgegenstände zu übertragen, die zusammen­ genommen eine in der Zukunft überlebensfähige Einheit darstellen. In der Regel vermeiden Auffang­ gesellschaften damit einen mühsamen vollkommenen Neuaufbau eines Unternehmens, verbunden aber mit den Chancen einer sinnvollen Restrukturierung und Neuausrichtun des Unternehmens für die Zukunft.
