Správa společností a struktura správních orgánů v českých podnicích#

Abstract

Správu společnosti chápeme jako systémový proces, který výrazným způsobem využívá ostatní disciplíny k řešení základního cíle, kterým je uspokojování oprávněných očekávání účastníků tohoto procesu. Tak jako na jedné straně je nutno správu společnosti chápat jako komplex aktivit, tak při jejich studiu z důvodu složitosti je často nezbytné tyto aktivity izolovat a studovat samostatně. Zde se zaměřujeme na jeden ze základních problémů správy společnosti, organizační architektury správních orgánů. Jde jmenovitě a specifickou formu tzv. dvojúrovňového systému v českých společnostech. Je důsledek masové privatizace, která vyústila v tzv. českou variantu anglosaského modelu, jehož základní charakteristiky a hlavní systémové nedostatky jsou podrobně analyzovány.
