Nouvelle orientation du Department of Justice américain en matière de compliance : entre risques et opportunités

Abstract

Compliance is a crucial issue for companies and governments around the world. This new instrument makes it possible to delegate, by compulsion, the prevention and detection of infringing behaviour to large companies. The stakes of compliance are numerous: to fight against infringement behaviours, to improve corporate governance, and to reduce sanctions and fines. In this article, we will study the role played by the US Department of Justice in structuring compliance. Recently, this structuring has evolved with the adoption of the Deputy Attorney General Lisa Monaco Memorandum. This text presents the new orientations that DOJ agents are invited to apply for the next few years. The purpose of this article is to provide the reader with an operational commentary on the reforms brought about by this new memorandum. As such, it aims to separate the risks and opportunities that this new text will inevitably generate.
