Abstract

La búsqueda de formas de gestión que favorezcan la continuidad de la empresa familiar ha generado un intenso debate en torno a la naturaleza y comportamiento de estas organizaciones. Desde nuestra perspectiva, la diferencia esencial de estas organizaciones es su singular estructura contractual. La coincidencia de la propiedad y dirección de la empresa en miembros de una familia da lugar a que en el nexo contractual se combinen relaciones económicas, comunes a cualquier tipo de organización, con afectivas. De esta forma, la Teoría de la Agencia se revela como un marco conceptual idóneo para describir la dinámica interna de estas organizaciones. En este artículo se desarrolla un enfoque contractual de la empresa familiar cuyo objetivo es conocer cómo la naturaleza familiar de la empresa afecta a la combinación de recursos y a los mecanismos de gobierno empleados. Asimismo, se intenta comprobar si estas peculiaridades afectan tanto al proceso de creación de valor como al conflicto de su reparto.
