Die Reform der EU-Fusionskontrolle Ökonomisch betrachtet
Abstract
Mit dem Inkrafttreten der novellierten Fusionskontrollverodnung hat der bisher tiefgreifendste Reformprozess der EU-Fusionskontrolle am 1. Mai 2004 seinen (vorläufigen) Abschluss gefunden. Anders als in der Literatur vorherrschend geht es in diesem Beitrag um eine ökonomische Betrachtung der Reform als ganzer und nicht um die Diskussion einzelner Neuerungen. Analysiert wird die sich abzeichnende „Ökonomisierung“ im Hinblick auf die von der Europäischen Kommission selbst vorgegebene Zielsetzung. Unter dem Schlagwort des „enhanced economic approach“ soll der verstärkte Rückgriff auf ökonomische Theorien und Methoden zu mehr Transparenz der Entscheidungen und damit letztlich zu erhöhter Rechtssicherheit führen. Kritisch hinterfragt wird daher die zugrundeliegende Vorstellung von der Anwendung ökonomischer Theorie. Analysiert werden außerdem die Auswirkungen auf den Verfahrensaufwand. Als Ergebnis wird eine Abschätzung der mit der „Ökonomisierung“ verbundenen Kosten und Nutzen vorgenommen, die zu einem negativen Ergebnis kommt. Damit wird versucht, die Lücke in der bisherigen Diskussion der Reform zu füllen. Als Schlußfolgerungen daraus werden zum einen die Frage nach einer adäquat(er)en Zielsetzung aus ökonomischer Sicht und zum anderen die Vermutung diskutiert, die Europäische Kommission verfolge zumindest als weiteres Ziel die Annäherung an die USamerikanische Fusionskontrolle.Download Info
