企業統治と組織淘汰－－世界金融危機とロシア企業－－

Abstract

本稿は，2005年及び2009年にロシア全土で実施した独自企業調査に基づいて，世界金融危機を挟む約5年の期間におけるロシア工業企業の生存状況を明らかにすると共に，その決定要因を実証的に分析した。Cox比例ハザードモデルを採用した生存時間解析の結果，会社機関の独立性，人的資本の豊かさ及び企業経営に対する発言力の強さは，観測期間におけるロシア企業の生存確率に大きな影響を及ぼす要因であることが実証された。なかでも取締役会と監査役会は，将来の経営破綻リスクを軽減する上で，極めて重要な役割を果たしている可能性が強く示唆された。また，本稿の実証結果は，企業存続の経済論理という観点から，独立系企業とグループ企業の間には，著しい差異が生じている事実も明らかにした。
