Gouvernance et création de valeur dans les entreprises familiales

Abstract

Au cours des dernières années, le débat a porté sur la structure du conseil d'administration (CA) en tant que mécanisme de gouvernance le plus remarquable du système de contrôle interne d'une entreprise. Divers auteurs ont tenté de démontrer que l'efficacité du CA, définie comme sa capacité à protéger les intérêts des actionnaires, dépend de ses caractéristiques principales (Cabrera-Suárez & Martín-Santana, 2015 ; Chang et al., 2019 ; García-Ramos & Díaz, 2020 ; Godard & Schatt, 2005 ; Kanadlı et al., 2020). Ils ont utilisé un ensemble diversifié de perspectives théoriques pour comprendre les caractéristiques et le rôle du CA. L'objectif de notre étude empirique est de savoir si le CA joue un rôle disciplinaire4 dans les EF cotées et de connaître l'impact de ces caractéristiques sur leurs performances. Pour réaliser cette étude, nous nous sommes focalisés sur trois principales caractéristiques du CA en nous basant sur la critique du fonctionnement des CA américains par Jensen (1993), un des fondateurs de la théorie de l'agence : le cumul des fonctions de direction générale et de présidence ; la taille et l'indépendance de ses membres.
