Abstract
Si le court-termisme est largement décrié, quelles sont dès lors les options envisageables pour favoriser la prise en compte du long terme dans les choix stratégiques de l'entreprise ? Est-il possible et suffisant d'encourager un actionnariat engagé sur la durée ? Pour répondre à ces questions, cet article revient sur la manière dont on appréhende le long terme. Plutôt que de le définir par rapport à l'horizon des projets d'investissement de l'entreprise, les enjeux contemporains de l'innovation poussent à penser le long terme au travers des capacités de régénération d'une entreprise, c'est-à-dire sa capacité à renouveler, de manière récurrente, non seulement ses gammes de produits, mais aussi ses champs d'innovation. Dans cette perspective, l'enjeu n'est pas tant que les actionnaires s'engagent auprès de l'entreprise pendant le cycle de développement des produits, mais davantage qu'ils adhèrent à une logique de régénération. En cela, la raison d'être ou la société à mission, ces deux notions récemment introduites dans le droit par la loi PACTE, offrent des mécanismes importants pour réconcilier finance et long terme. En effet, elles permettent d'ancrer dans les statuts, et au-delà d'éventuels changements d'actionnaires, des engagements à innover pour un futur désirable.
