La gouvernance d'entreprise après la crise financière : Soft Law ou Hard Law

Abstract

Les rapports Viénot 1 et 2 (1995, 1999) et Bouton (2002) ou le code récent proposé à l'initiative de l'AFEP et du MEDEF constituent le socle de la Soft Law et ont pour objet de proposer des mesures concrètes de "bonne" gouvernance que les entreprises cotées s'engagent alors à mettre en oeuvre dans le cadre d'une autorégulation. Ces prescriptions sont généralement les mêmes dans chaque pays, même si elles sont adaptées aux contextes juridiques et culturels de chacun. A partir d'une analyse de la gouvernance des sociétés du CAC 40 à la fin 2008, les auteurs proposent des pistes d'évolution de la gouvernance en distinguant les cas où le recours à la Soft Law est suffisant et ceux où la Hard Law semble souhaitable. Pour ce faire, les deux principales facettes de la gouvernance sont abordées successivement, les incitations financières des dirigeants, leurs rémunérations et ses différentes composantes, puis la structuration du conseil d'administration, sa composition, son fonctionnement et la transparence de ses pratiques.
