Abstract

En 1912, Edouard Bardinet pris la décision de faire venir son gendre Jean Barennes dans l'entreprise de négoce de rhum et autres alcools créée par son père Paul Bardinet (1837-1901). Qu'est-ce qui conduit le dirigeant d'une entreprise familiale à faire intervenir dans la gestion interne des affaires, une pièce dite « rapportée » ? Est-ce une volonté d'ouverture ou une réaction envers une nouvelle génération à la fibre entrepreneuriale émoussée ? Cette question du passage de témoin semble au cœur des problématiques des entreprises familiales (Kenyon-Rouvinez et Ward 2004). Plus généralement en Sciences de Gestion, les recommandations quant aux modalités de transmission appartiennent à deux corpus qui se répondent : celui qui, de manière synchronique interroge les liens entre structure de propriété et direction des entreprises ; et l'autre, en diachronique, va chercher à isoler le « bon moment » pour passer les rênes gestionnaires à un « manager de profession ».
