Abstract

La finance entrepreneuriale identifie traditionnellement deux catégories investisseurs : les Business Angels et le capital-risque. Il faut y ajouter aujourd'hui le crowdfunding, qui met en scène la foule et les plateformes. Ces dernières, peu étudiées dans la littérature, semblent pourtant avoir une place déterminante dans la gouvernance exercée sur les projets entrepreneuriaux, notamment dans son versant cognitif. Elles apportent en effet conseils, réseau et notoriété. Notre étude empirique met en évidence le rôle actif des plateformes d'Equity crowdfunding, en tant qu'interface structurant les interactions entre les acteurs de la finance entrepreneuriale (foule, Business Angels et le capital-risque) à travers les mécanismes de gouvernance cognitive. Les plateformes mobilisent les ressources cognitives de chaque catégorie d'investisseur de manière différenciée, en fonction des objectifs du système de gouvernance. Les pratiques des plateformes en matière de gouvernance mettent en lumière une typologie permettant de caractériser quatre types de plateformes.
