Субстандартні Способи Захисту Корпоративних Прав

Abstract

Традиційна модель права на захист корпоративних правовідносин передбачає вирішення юридичного конфлікту між учасниками відповідних корпоративних правовідносин за допомогою усталених правових конструкцій. Слід зазначити, що такі конструкції не передбачають спеціальних (нетипових) процедур захисту прав та інтересів тих осіб, які не є безпосередньо учасниками корпоративних правовідносин, хоч й перебувають в межах корпоративного конфлікту. До осіб, які не є учасниками корпоративних правовідносин ми відносимо тих, що, не маючи суб'єктивного цивільного права в структурі корпоративних правовідносин, одночасно володіють об'єктивним прагненням до захисту власного правового інтересу в такому правовідношенні. Таке прагнення потребує не тільки правової регламентації, але й правового захисту від порушення з боку третіх осіб, або навіть створення загрози такого порушення. З другого боку, заначимо, що класична формула ознак юридичної особи вимагає змістовного вдосконалення. Абстрактність юридичної особи від людського субстрату при очевидному контролі людини за її діяльністю нівелює свого значення. Обумовленість наслідків діяльності юридичної особи від поведінки фізичної особи, яка перебуває за її «вуаллю» не викликає сумніву. Фізична особа, впливаючи на характер діяльності юридичної особи, прийняття нею рішень, настання наслідків їх прийняття, також має нести відповідальність за таку активність.
