Abstract

Als Reaktion auf die Finanzkrise erließ der deutsche Gesetzgeber das Kreditinstitute-Reorganisationsgesetz (KredReorgG).Dieses ermöglicht u.a. bestimmten Instituten die Einleitung eines Reorganisationsverfahrens, welches eine drohende Insolvenz vereiteln soll. Als wichtigstes Instrument zur erfolgreichen Reorganisation gilt der „debt-equity swap". Gemäß § 9 Abs.2 Satz 1 KredReorgG sind die bereits vor einer solchen Umstrukturierung am Kapital beteiligten Altgesellschafter hierfür angemessen zu entschädigen.Bislang existiert keine betriebswirtschaftliche Analyse des sich hieraus ergebenden Entschädigungsproblems. Der vorliegende Beitrag trägt dazu bei, diese Forschungslücke zu schließen,denn er präsentiert erstmals ein investitionstheoretisch fundiertes Modell zur Entschädigungsbemessung.
