La| gouvernance actionnariale et financière : Une méprise théorique

Abstract

Cet article montre que la théorie néolibérale de la finance et de la gouvernance ne pouvait pas s'appliquer au contexte économique des dernières décennies. La crise actuelle n'est pas due à un excès de néolibéralisme financier mais au fait que le cadre théorique néolibéral était inapplicable à la situation spécifique des années 1980-2008. Après avoir rappelé le fondement néolibéral de la théorie de la gouvernance actionnariale, l'auteur montre le décalage entre les hypothèses sur lesquelles repose le modèle néolibéral et la situation économique à laquelle il se réfère. L'auteur explique comment la théorie actionnariale et financière a servi de paravent idéologique à la recomposition du pouvoir dans les entreprises, dont certains dirigeants et investisseurs ont été les principaux bénéficiaires.
