Abstract

Sous l'effet de scandales financiers et économiques largement médiatisés (Enron, WorldCom, Vivendi, Parmalat, plus récemment EADS ou la Société Générale), les discours et les débats relatifs à la « gouvernance d'entreprise » se sont multipliés de façon exponentielle au cours des vingt dernières années. Dans un climat de suspicion et de crise de confiance à l'égard des dirigeants et des administrateurs de sociétés, des chartes, codes éthiques et rapports de « bonnes » pratiques ont vu le jour (Rapports Cadbury, Vienot 1 et 2, Bouton, AMF).
