La gouvernance d’entreprise en France : un état des lieux contemporain

Abstract

L'analyse de la gouvernance des entreprises françaises à ce jour montre que les recommandations issues de très nombreux travaux académiques ont été très largement reprises par la pratique. Pour autant, la mise en œuvre s'est avérée historiquement plus réactive à la suite de crises ou de « scandales » que proactive. Cela s'explique en France par le choix principal d'une autorégulation dénuée de réelles sanctions. En outre, tant en termes théoriques que pratiques, la gouvernance a encore de nombreux chantiers à approfondir qu'il s'agisse des entreprises familiales, du private equity, de la prise en compte des parties prenantes ou du reporting intégré.
