Fusions & acquisitions : le défi du transfert de connaissances

Abstract

Les fusions & acquisitions (F&A) se terminent plus fréquemment par un échec que par un succès. Ce constat met en jeu le management post-fusion de ces opérations et la nécessaire maîtrise du processus d'intégration. Ce livre trouve son origine dans le rôle et l'importance croissante du transfert de connaissances pour expliquer la réussite des F&A. Il apporte un éclairage sur les caractéristiques et les facteurs de succès et d'échec du processus du transfert de connaissances dans la phase d'intégration post-fusion, et cela à travers l'étude de cinq cas de fusions & acquisitions réalisées dans le secteur français de la haute technologie (Sanofi-Aventis, Alcatel-Lucent, Gemalto, Sagem-Snecma et Alpha-Beta). A partir d'un cadre théorique original tenant compte des "macro", "micro" et "soft" facteurs simultanément, ce travail de recherche met en évidence les pratiques à privilégier dans le management de l'intégration ayant pour objectif le transfert de connaissances. Ce livre intéressera les chercheurs, les étudiants et les managers impliqués dans des projets de F&A.
