Abstract

les actions a bons de souscription d'actions directes (sans droit preferentiel de souscription) sont systematiquement sous-avaluees lors de leur emission en France. Nous proposons une explication de ce comportement des societes fondee sur l'arbitrage entre perte du droit preferentiel pour les actionnaires anciens et le gain qu'ils retirent d'une diminution des frais d'emission bancaires.
