Abstract

(VF)Relativement au thème traditionnel de l'influence des modes de contrôle des dirigeants sur la performance des firmes, cet article poursuit deux objectifs principaux. Le premier est de présenter les principales étapes qui ont permis au cadre d'analyse dominant, fondé sur les relations avec les actionnaires, d'émerger. Le second est de critiquer et de proposer un élargissement de ce cadre traditionnel. La critique passe en particulier par la proposition d'un cadre élargi à l'ensemble des cocontractants avec la firme (stakeholders) et prenant en compte les stratégies d'enracinement des dirigeants.(VA)Concerning the traditional question of the influence of the modes of managers' control on the performance of the firms, this article has two principal purposes. The first is to present the principal stages through which the dominating framework of analysis, based on the relations with the shareholders, has emerged. The second is to criticize and propose a widening of this traditional framework. In particular, we propose an enlarged framework allowing to include all the stakeholders and taking into account the managers' entrenchment strategies.
