Abstract

Zusammenfassung Entscheidungen im Bereich Mergers & Acquisitions (M&A), z. B. über den Kauf von Unternehmen, sind sehr komplex und für den Unternehmenserfolg oft von großer Bedeutung. In diesem Beitrag werden die bei solchen Entscheidungen bestehenden aktuellen Herausforderungen zusammengefasst. Dabei wird insbesondere aufgezeigt, dass sich aus diesen Herausforderungen oft bedeutende Risiken ergeben, die bei Unternehmensbewertung und Entscheidungsfindung zu berücksichtigen sind. Grundlage von M&A-Entscheidungen sollten daher Entscheidungswerte sein, die auf einer quantitativen Risikoanalyse basieren und Veränderungen des Risikoumfangs eines Unternehmens berücksichtigen. Die damit skizzierte methodische Herausforderung wird auch in den Kontext der konkurrierenden finanzierungs- und investitionstheoretischen Bewertungslehre eingeordnet.
