Abstract

The issues in corporate governance (CG) are wide and varied, many arising as a response to perceived governance failures. For example, in the United Kingdom, the first code was the Cadbury Report in 1992. 1 This was followed and developed by a number of other initiatives, several of which were brought together under the Combined Code on Corporate Governance. 2 Many other countries have similarly developed their own codes or regulations in the area of governance. 3 The Federal Securities Commission of the Russian Federation issued the Russian Code of Corporate Conduct in April 2002. The code applies primarily to joint stock companies seeking access to capital markets, but may also provide direction for other corporate entities. The code’s provision defines the authority of the board of directors in relation to management shareholders and stakeholders.
