Entebbe Ltd.: A Tax Case

Abstract

This case is designed to integrate two major tax issues—wind‐up of a company versus sale of shares—with business valuations. Thus, it is designed to incorporate key tax and finance CPA competency areas. There are two valuations required in this case. One is the valuation of shares; the other is the valuation of an intangible asset (a patent). Students have to recognize that before they can decide whether a wind‐up or sale of shares is preferred, they first need to determine the fair market value (FMV) of the shares. However, to determine the FMV of the shares, the valuation of a patent must be done first, as its value will impact the FMV of the shares. Thus, this case requires students to sequence their analysis. Residency issues (“departure tax”) upon leaving Canada permanently are also indirectly identified in the case. Entebbe Ltd. : étude de cas en fiscalité Le cas proposé vise à intégrer à l’évaluation d'entreprise deux questions fiscales d'importance intervenant dans le choix entre la liquidation d'une société et la vente de ses actions. Il fait donc appel à des domaines de compétences clés des CPA liés à la fiscalité et à la finance. Les étudiants sont appelés à réaliser deux évaluations, l'une des actions et l'autre d'un actif incorporel (un brevet). Ils doivent reconnaître qu'avant de pouvoir déterminer quelle option doit être privilégiée, la liquidation ou la vente des actions, il leur faut d'abord établir la juste valeur marchande (JVM) des actions. Or, ce calcul nécessite préalablement l’évaluation d'un brevet, la valeur de ce dernier ayant une incidence sur la JVM des actions. Ce cas exige donc des étudiants qu'ils ordonnent leur analyse. Les questions relatives au statut de résidence (« impôt de départ ») au moment de quitter le Canada de manière définitive sont également abordées indirectement dans ce cas.
