Abstract

Zusammenfassung Normzweckadäquate Typisierungen für das Ertragswertverfahren werden interdisziplinär kontrovers diskutiert. Von juristischer Seite wird auf den Verkehrswert des Unternehmens verwiesen, während in der Bewertungspraxis der sog. objektivierte Unternehmenswert nach IDW S1 herangezogen wird und die betriebswirtschaftliche Funktionenlehre auf Grenzpreise und die Vermittlungsfunktion verweist. Ausgehend von den rechtlichen Wertungen des AktG diskutiert der Beitrag die unterschiedlichen Perspektiven, deren Divergenzen und Konsequenzen für die Umsetzung des Ertragswertverfahrens. Als interdisziplinäre Lösung wird in diesem Beitrag ein rechtlich typisierter Verkäufergrenzpreis vorgeschlagen, der sich konzeptionell in die betriebswirtschaftliche Funktionenlehre einfügt. Zudem wird dargelegt, dass sich die Perspektiven aufgrund notwendiger typisierender Annahmen nicht unversöhnlich gegenüberstehen.
