Abstract

[eng] Mergers, new markets and new products of clearing houses : risks and challenges . Several current financial debates deal with clearing houses, as European stock exchange dealers. Why this link in the negotiation’s chain is now considered as a key component of the European market institutions’ future restructuring ? Is a unique European clearing house necessary and, if yes, which governance or business model does it need ? What are the intermediate and necessary steps ? If the question about concentrated vs competitive market and their advantages and disadvantages is still asked, there is a broad consensus on a unique European clearing houses. . JEL classification : F36, G14, G28 [fre] Les contreparties centrales, ou chambres de compensation, sont actuellement au coeur de tous les débats qui occupent le monde de la finance, et ce, au même titre que les opérateurs de Bourses européennes. Pourquoi un tel maillon de la chaîne de négociation est-il considéré aujourd’hui comme un élément clé dans la façon dont les infrastructures de marché vont se restructurer en Europe ? Faut-il une chambre de compensation unique en Europe, et si oui, quel modèle doit-on lui donner, tant en matière de gouvernance que de business model ? Quelles sont les étapes intermédiaires et nécessaires pour y arriver ? Si la question se pose encore au niveau des marchés - concentration versus compétition - avec les avantages et les inconvénients évidents associés à chacun de ces deux scénarios, il semble y avoir aujourd’hui consensus autour du principe d’une chambre de compensation unique pour l’Europe de demain. .
