Quelles relations contractuelles pour l'externalisation logistique ?

Abstract

[fre] Sur fond de mondialisation et d'accélération des transactions, les entreprises se réorganisent, se recentrent sur leurs métiers de base et externalisent de nombreuses activités consommatrices de ressources. L'organisation s'élargit et cette extension fait appel à des dispositifs contractuels de plus en plus complexes. De ce point de vue, notre article défend l'idée que l'approche contractuelle, malgré de nombreuses contradictions, fournit un éclairage pertinent dans le contexte particulier des relations d'ex-ternalisation logistique. Sur ce terrain particulier, le succès semblerait être fortement prédéterminé, ancré dans la phase amont de préparation et de conceptualisation de la relation. Néanmoins, le besoin croissant de réactivité, spécifique aux chaînes logistiques, interpelle sur la nature des dispositifs contractuels susceptibles de favoriser l'adaptation et le progrès continu. [eng] Globalisation and high speed of business have led firms to reorganize, to focus on their core business and out-source many other activities. As firms are growing, more complex contractual agreements are required. This paper shows that a contractual approach, despite many contradictions, sheds much lights on the outsourcing relationships. To a very large extent, the success of outsourcing depends on the pre-contractual phase of preparation and conceptualisation of the relationships. However, the growing need of reactivity within the Supply Chain means that the nature of the contract needs to be carefully studied if ongoing progress is to be made.
