Abstract

Artificial intelligence and decision-making processes. The responsibility ofcompany directors (J. e . l .: K2). The phenomenon of strategic decision-making, when not solely dependent on human evaluation and heavily availing of A i systems, also predictively, impinges upon both the creation of organizational models and the rules of management and control, which are capable of altering the dialectic between corporate bodies and the regulations on their liability. Hence, it is necessary to ensure a system based on internal disclosure transparency in boards decision-making as well as an elevation of disclosure obligationsexternal to corporate organization, possibly involving third parties, towards greater protection of stakeholder interests. A restriction in the discretionary activity and a diverse responsibility for either managerial decisions or corporate governance may be envisaged, in compliance with the general clauses of adequacy and appropriateness of the organizational structures. This path, however, cannot exclude a proactive roleof the directors in exercising their powers for the achievement of the corporate object and the protection of corporate values and assets.
