Gobierno Corporativo Y Sociedad Anónima Bursátil: Los Deberes De Diligencia Y De Lealtad De Los Administradores

Abstract

Dentro de las medidas de control interno de las grandes sociedades, el movimiento del Gobierno Corporativo propone la regulación de los deberes de diligencia y de lealtad de los administradores como una vía para controlar la gestión social y atajar los agency problems. En este sentido la LMV incluye una regulación particularmente detallada de estos deberes para los administradores que a todas luces es una transposición a nuestro ordenamiento jurídico de una regulación del derecho anglosajón. El primero de los deberes obliga a los consejeros a informarse y participar en las decisiones sociales; el segundo obliga a los consejeros y al secretario del consejo a abstenerse de participar en la toma de decisiones en caso de existir conflicto de intereses; así como, a no divulgar información privilegiada.
