Propiedad y gobierno: la empresa familiar

Abstract

From a restrictive definition of family firm (ownership and control in hands of a family and a vocation of continuity to future generations), this paper analyses the benefits and costs of the family as governance structure, paying attention to shareholders concentration and to the level of professional executives in the firm. The institutional overlap between the family and the firm lead to specific conflicts whose solution requires the introduction of several instruments and specific governance mechanisms of the family firm.
