Teoría de los partícipes y ciudadanía empresarial: una perspectiva pluralista del gobierno de las compañías

Abstract

The objective of this article is to present a synthesis of the content, the contributions and the discussion on the stakeholder or pluralist corporate model. This model is oriented towards the creation of wealth for the whole of the participants affected by the activity thereof, which connects it with the concept of "entrepreneurial citizenship"- an ample vision of the social responsibility of companies. In order to do so, a presentation is made of the origin and the bases of this model, offering two justifications: from the point of view of business ethics to certain recent developments in terms of economic analysis. In this latter field, there is a special emphasis on the diversity of participants who undertake specific investments in corporations and, therefore, assume risks. Special attention is thus paid on the importance of understanding the entrepreneurial organisation as a network of interrelated and complementary critical resources, united by "contracts of relation" based on trust; and the need to internalise the external effects generated by companies. Furthermore, attention is paid to some of the most debated points in connection to that approach: what is meant by participant; which could the structures and institutional procedures be for its practical application; up to what point it can operate reasonably and with measurable results.
