Abstract

(VF)Cet article explore les liens entre la dynamique « d’équipe » au sein des conseils d’administration et la performance organisationnelle. Appuyé sur des écrits théoriques et empiriques issus de plusieurs disciplines, il innove en proposant un modèle particulier de la pensée groupale au sein des conseils d’administration en insistant sur les indicateurs de sa présence, sur ses déterminants ainsi que sur ses effets potentiels négatifs sur les individus, sur l’organisation et sur la société dans son ensemble. La pensée groupale est une inclinaison psychosociologique qui presse les membres d’un groupe à rechercher à tout prix le consensus et à éviter les dissensions et l’analyse d’options au détriment de l’efficience, de la rationalité et de la moralité de leurs décisions collectives. Les résultats des études visant à analyser les liens proposés dans ce modèle auront des contributions théoriques, empiriques et pratiques à la gouvernance d’entreprise. (VA) This article explores the links between "team" dynamics on boards of directors and organizational performance. Based on theoretical and empirical studies from several disciplines, it innovates by proposing a specific model of group thinking for boards of directors, focusing on the indicators of its presence, its determinants as well as its potential negative effects on individuals, the organization and society as a whole. Group thinking is a psycho-sociological bias that puts pressure on members of a group to seek consensus at all costs, to avoid dissension and the analysis of alternatives to the detriment of the efficiency, rationality and morality of their collective decisions. Research on the links proposed in the article will provide theoretical, empirical and practical contributions to corporate governance.
