Abstract

(VF)Nous montrons comment, malgré les obstacles propres aux firmes entrepreneuriales, le conseil d’administration de ces firmes, réputé jouer un rôle déterminant dans leur performance, parvient à se former et à fonctionner grâce aux processus d’identification sociale à l’œuvre entre ses membres. Le cas de la startup EBV est analysé suite à des entretiens avec les acteurs de sa première levée de fonds. Nous étudions les processus d’identifications sociales et les interactions de huit administrateurs potentiels. Un modèle enraciné de la genèse du conseil des firmes entrepreneuriales, ancré dans une théorie comportementale et sociale de la gouvernance entrepreneuriale, est alors proposé. (VA) The board of directors plays a key role in the performance of entrepreneurial firms. We show how, despite the challenges faced by these firms, the board can be formed and work thanks to the social identification processes between its members. The case of the startup EBV is analyzed following interviews with the actors of its first equity financing round. We analyze the social identification processes and the interactions between eight potential board members. A model of the genesis of the board of entrepreneurial firms, rooted in a behavioral and social theory of governance, is proposed.
