La société en commandite par actions: un outil de transmission pour l’entreprise familiale cotée

Abstract

(VF)La transmission de l’entreprise familiale est complexe en raison de ses trois dimensions, patrimoniale, managériale et émotionnelle. L’objectif est d’analyser les situations où le dirigeant familial d’une société cotée, peut avoir intérêt à la réaliser dans le cadre de la société en commandite par actions (SCA). Cette structure de gouvernance très ancienne, qui sépare nettement les trois dimensions de la transmission, n’a pas été étudiée dans ce cadre, à la différence des modes de gouvernance dans les sociétés anonymes, alors qu’elle génère des conflits d’agence et d’enracinement originaux. Les résultats sur 21 SCA cotées, dont 16 familiales, montrent que le choix de la SCA est principalement motivé par une transmission familiale pérenne prenant en compte un « affectio-societatis » variable et un enracinement légal du dirigeant familial permettant une stratégie basée sur le long terme.(VA)The transmission of the family business is complex because of its three dimensions: patrimonial, management and emotional. The purpose is to analyze situations where the family leader of a listed company may have interest in achieving under the limited partnership with shares. This very old governance structure that clearly separates the three dimensions of the transmission has not been studied in this context, unlike the three possible modes of governance in public limited companies, while it generates conflicts of agency and entrenchment issues originals. The results of twenty-one listed SCA, sixteen families, show that the choice of the SCA is primarily driven by a permanent family transmission taking into account a "affectio-societatis" variable and legal entrenchment of the shareholding of family control for a strategy based on long-term.
