Abstract

Настоящата студия е посветена на актуалните правни проблеми, свързани с нормативната уредба на акционерното дружество. Целта на научното изследване е: анализ на действителното състояние на членството в дружеството, неговата защита и отговорността на органите за управление при накърняване правата на акционерите. Анализирано е членството при изключване на акционера, намаляване и увеличаване на капитала. Съществено място е отделено на проблемите, свързани с отговорността на органа за управление за вреди, причинени на дружеството. Авторът поддържа тезата за квалифицирането й като договорна по вид отговорност. В научното изследване е анализирана и съдебната практика. Заключението съдържа обобщение и предложения за усъвършенстване на търговското законодателство.
